1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you (the "Customer," "you," or "your") and Verifox, Inc. ("Verifox," "we," "us," or "our"), governing your access to and use of the Verifox platform available at verifox.ai ("the Service").
By creating an account, accessing the Service, or clicking "I agree," you confirm that: (a) you have read and understood these Terms; (b) you are at least 18 years old or have the legal age of majority in your jurisdiction; (c) you have the authority to bind the entity on whose behalf you are acting; and (d) you agree to be bound by these Terms.
If you are using Verifox on behalf of a company or other legal entity, references to "you" include both you and that entity. You represent that you have the authority to bind that entity to these Terms.
2. The Verifox Service
Verifox (verifox.ai) provides an email verification and intelligence platform that includes the following services:
- Email Verification: SMTP-based deliverability checking of email addresses. Our system probes mail servers to determine whether an address can accept email. No email is ever sent to the address being verified.
- Email Finder: Identification of professional email addresses associated with individuals and organisations based on publicly available and licensed data.
- Domain Intelligence: Analysis of domain-level email infrastructure, including MX records, DMARC/SPF/DKIM configurations, and domain reputation.
- DMARC Monitoring: Monitoring of DMARC aggregate reports to detect phishing and email spoofing against your domains.
- Email List Management: Bulk upload, storage, cleaning, and export of email lists.
- FoxGuard Fraud Detection: Identification of disposable, role-based, catch-all, and high-risk email addresses.
We reserve the right to modify, suspend, or discontinue any feature of the Service with reasonable notice, except where immediate action is required to protect security or comply with legal obligations.
3. Account Registration and Security
To access the Service, you must create an account. You agree to provide accurate, current, and complete information during registration, and to keep your account information up to date.
Account Security
You are responsible for maintaining the security of your account credentials, including your API keys. You agree to:
- Use a strong, unique password for your Verifox account
- Enable two-factor authentication if available
- Not share your account credentials or API keys with unauthorised persons
- Notify us immediately at support@verifox.ai if you suspect any unauthorised use of your account
You are responsible for all activities that occur under your account, including API usage and credit consumption, regardless of whether those activities were authorised by you.
4. Credits, Billing, and Subscriptions
Verifox operates on a credit-based billing model. Credits are consumed when you use verification, finder, or intelligence services. The number of credits deducted per operation is displayed in the platform and may vary by service type and result.
Subscription Plans
We offer monthly and annual subscription plans that include a set number of credits per billing period. Unused credits from monthly plans do not roll over unless specified in your plan. Annual plan credits may have rollover terms as described at the time of purchase.
Payment Terms
- Subscriptions are billed in advance at the start of each billing cycle.
- Add-on credit packs are billed immediately upon purchase.
- All payments are processed by Stripe. By providing payment details, you authorise Stripe to charge your payment method on our behalf.
- All prices are in USD unless otherwise stated. We are not responsible for foreign exchange fees charged by your bank.
Refunds
Our refund terms are governed by the Refund Policy. In general, we offer a 14-day money-back guarantee for new subscribers and pro-rated refunds for annual plans cancelled after 14 days.
5. Acceptable Use Policy
You agree to use the Verifox Service only for lawful purposes and in accordance with these Terms. The following uses are strictly prohibited:
Prohibited Activities
- Verifying email addresses for the purpose of sending spam, unsolicited bulk email, or any communication that violates CAN-SPAM, CASL, or other applicable anti-spam laws
- Using the Email Finder to harvest contact information for unsolicited outreach in violation of applicable law
- Submitting verification requests for email lists that you do not own, have not obtained lawfully, or which consist of consumer personal data without appropriate legal basis
- Attempting to reverse-engineer, scrape, or exploit our SMTP probing infrastructure
- Using the Service to facilitate harassment, abuse, or threats against any individual
- Reselling or white-labelling the Service without an authorised reseller agreement with Verifox
- Circumventing rate limits, authentication, or other technical controls
- Using automated scripts to create multiple accounts or abuse the free trial
Verifox reserves the right to suspend or terminate accounts that violate this Acceptable Use Policy, with or without prior notice depending on severity. We may also report illegal activity to relevant authorities.
6. Intellectual Property
All intellectual property in the Verifox platform — including software, algorithms, trade secrets, trademarks, logos, website content, and documentation — is owned by Verifox, Inc. or its licensors. Nothing in these Terms transfers any intellectual property rights to you.
Licence Grant
Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business purposes.
Your Content and Data
You retain all rights to the email lists, domain data, and other content you upload to the Service ("Customer Data"). You grant us a limited, non-exclusive licence to process Customer Data solely for the purpose of providing the Service to you. We do not use Customer Data to train AI models or for any purpose beyond service delivery.

7. Data Processing
To the extent that you submit personal data (such as email addresses of your contacts) to the Service, Verifox acts as a data processor and you act as the data controller. Our processing is governed by our Data Processing Agreement (DPA), which is incorporated into these Terms by reference.
By accepting these Terms, you also accept the DPA. You represent and warrant that you have a lawful basis under applicable data protection law (including GDPR and CCPA) to submit the personal data you provide to us for verification.

8. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VERIFOX DISCLAIMS ALL WARRANTIES, INCLUDING WITHOUT LIMITATION:
- Any implied warranty of merchantability, fitness for a particular purpose, or non-infringement
- Any warranty that the Service will be uninterrupted, error-free, or completely secure
- Any warranty regarding the accuracy or completeness of email verification results (deliverability status is probabilistic and can change at any time)
Our Zero Bounce Guarantee provides specific service level commitments regarding verification accuracy, which supplement but do not replace this disclaimer.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL VERIFOX OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
Our total aggregate liability to you for any claims arising out of or related to the Service shall not exceed the greater of: (a) the amount paid by you to Verifox in the 12 months immediately preceding the event giving rise to the claim; or (b) USD $100.
Some jurisdictions do not allow the exclusion or limitation of liability for consequential or incidental damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.
10. Indemnification
You agree to indemnify, defend, and hold harmless Verifox and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:
- Your access to or use of the Service in violation of these Terms
- Your violation of any applicable law, including anti-spam laws, data protection law, or intellectual property law
- Any Customer Data you submit to the Service
- Any claim by a third party that your use of the Service infringes their rights
11. Governing Law and Disputes
These Terms are governed by the laws of the State of California, USA, without regard to its conflict of laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration conducted by the American Arbitration Association under its Commercial Arbitration Rules, except that either party may seek injunctive relief in any court of competent jurisdiction to prevent irreparable harm.
Notwithstanding the above, if you are located in the EU/EEA, EU consumer protection laws may provide you with rights that cannot be waived by contract. Nothing in these Terms limits any rights you have under mandatory applicable law.
The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.
12. Termination
Either party may terminate these Terms at any time. You may terminate by closing your account through the platform settings. We may terminate your access immediately if you violate these Terms, fail to pay applicable fees, or if required by law.
Upon termination: (a) all licences granted to you cease immediately; (b) we will provide you with an opportunity to export your data for 30 days following termination; (c) we will delete your Customer Data within 90 days of account closure, except where retention is required by law.
Sections 6 (Intellectual Property), 8 (Disclaimer of Warranties), 9 (Limitation of Liability), 10 (Indemnification), and 11 (Governing Law) survive termination of these Terms.
